QUESTION 1

Mr  Dipo Abolarin a retired civil servant intends to set up a fish farm in order to preserve the money realised from his gratuity. He decided to float a business by name Point and Kill Nigeria Plc. He appointed his girl-friend Susan Bright (an Illiterate) as the Secretary to the Company. He also appointed his Mother Madam Abigail Abolarin who celebrated her Seventieth Birthday two weeks ago as the Sole Director of the Company.

Mr Abolarin recently fell ill. In order to preserve his interest in the company, he instructed his legal practitioner Mallam Gambo to draft his will bequeathing the fish farm and all his other properties to his only dog Billy.

ANSWER THE FOLLOWING QUESTIONS

1.      With Judicial authorities, comment on the propriety or otherwise of the following:

a.       The will made by Mallam Gambo;

b.      The appointment of Susan Bright and Madam Abigail.

2.      Would your answer in 1 (a) and (b) above be the same assuming Mr Abolarin decided to incorporate:

a.       Point and Kill Nigeria Limited?

b.      Point and Kill Ventures.

3.      Comment on at least 5 differences between Point and Kill Nigeria Limited and Point and Kill Nigeria Plc.

4.      Comment on the steps and the documents needed if Mr Abolarin intends to make Point and Kill a Subsidiary company of Point and Kill group of companies.
